Welcome to Bideoke. By accessing or using the Bideoke platform ("Platform", "we", "us", "our") — including the website at bideoke.com, any mobile application, or any related service — you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

1. What Bideoke Is

Bideoke is a technology platform that enables patrons at participating venues to submit song requests and place bids to improve their position in a karaoke queue. Bideoke facilitates transactions between patrons, Karaoke Jockeys ("KJs"), and participating venues. Bideoke is not a venue operator, employer of KJs, or organizer of karaoke events.

2. Eligibility

You must be at least 18 years of age to create an account or place a bid.
By using the Platform, you represent that you meet this requirement.
Accounts are personal and non-transferable.

3. Bids and Payments

All bids are in US Dollars (USD).
A submitted bid is a binding commitment to pay the stated amount.
Bideoke collects 20% of each bid as a platform fee. The remaining 80% is distributed between the KJ and venue per the event's configured split.
Bids are non-refundable once a queue position has been assigned, except as required by applicable law.
Payments are processed by Stripe. By submitting payment, you agree to Stripe's Terms of Service.
Bideoke is not responsible for payment processing errors caused by your bank or card issuer.

4. Queue Position

Queue position is determined by bid amount (highest bid = highest position). Equal bids are sorted by submission time.
Bideoke does not guarantee that you will perform. Queue position may be affected by event length, KJ discretion, technical issues, or venue closure.
KJs retain the right to skip, remove, or reorder performers at their discretion for safety, conduct, or event management reasons.
No refund is owed if you are skipped due to your own absence, conduct, or inability to perform.

5. User Conduct

You agree not to:

Use the Platform for any unlawful purpose.
Submit false, offensive, or infringing song requests.
Manipulate the bidding system through collusion, fraud, or technical exploitation.
Harass, threaten, or harm other users, KJs, venue staff, or patrons.
Attempt to reverse-engineer, scrape, or otherwise interfere with the Platform.

Violation of these rules may result in immediate account suspension and forfeiture of any pending bids without refund.

6. KJs and Venues

KJs and venues are independent third parties, not employees or agents of Bideoke.
Bideoke is not responsible for the quality, conduct, or safety of any karaoke event.
KJs and venues are responsible for compliance with all applicable local laws, including liquor licensing, entertainment permits, and noise ordinances.
Revenue disbursements to KJs and venues are subject to identity verification and applicable tax reporting requirements.

7. Intellectual Property

All content on the Platform — including the Bideoke name, logo, design, and software — is owned by or licensed to Bideoke and is protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that the Platform will be error-free or that any bid will result in a performance opportunity.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Bideoke and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including lost profits, lost data, or personal injury occurring at a venue. Our total liability to you for any claim shall not exceed the amount you paid to Bideoke in the 30 days preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Bideoke and its affiliates from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your violation of these Terms, or your conduct at a venue.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect only the data necessary to operate the Platform and process payments. We do not sell your personal data to third parties.

12. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Michigan.
